An Opportunity to Sponsor a Professional Golfer


Introduction

Dear Investor,

Opportunity has many faces and investment many meanings. People often don't recognize one and can't agree on the other. The enclosed proposal is both. It is an opportunity to be part of an exciting adventure and it is an investment for the fun at heart.

While some investments are cold and calculated with guaranteed results, others offer bragging rights, excitement and potential, like owning a racehorse or financing a movie. You wouldn't put your life savings in this. But, for the cost, it's a bargain, and, it should be fun and profitable.

I am asking a group of friends and acquaintances to join me in an adventure of a professional golfing career. The details are in the proposal. I am looking forward to your response.


Proposal

The following is a proposal for the formation of a joint venture to sponsor CANDACE MERRILL (hereafter referred to as "Player") to compete for prize money in professional golf tournaments for a period of one year, to commence on January 1, 2002. The Player intends to compete on various professional tours and in other professional events (see Tournament Itinerary) from January through December, leading up to the qualification for the LPGA Tour for the year of 2003. The necessary level of capital investment is $25,000 (see Tournament Expenses) and will be sold in shares at $1,000 per share.

NOTE: In the likely event the Player is successful in securing playing rights on LPGA Tour for 2003, she will be playing for much higher levels of prize money in the coming season (as much as twenty times averaged present levels) and each shareholder shall have the right, but not the obligation, to renew his/her interest in the partnership for two additional seasons, equal to his/her present level (i.e. # of shares) of participation.

A Brief Bio...

CANDACE ARLENE MERRILL

I was born on October 23, 1974 in Houston, Texas. I began playing golf at the age of 13, the summer before entering my freshman year of High School. I played High School golf at J. Frank Dobie High School. As a freshman I won the 23-5A District title and that began my four year undefeated District reign. I played many junior events from 1989 - 1992.

After many weeks of careful consideration I accepted a golf scholarship to Texas Tech University and played there from 1992 - 1996. I graduated from Texas Tech University in December 1997 with a Bachelors Degree in General Studies.

I became a member of the LPGA Teaching and Club Professional Division in 1997 and spent much of 1998 and 1999 as an assistant at local Country Clubs. In March of 2001 I resigned my position of Assistant Director of the Shell Houston Junior Golf Program for the City of Houston to spend more time on my game. I have a passion for competitive play and have been unable,in the past, to fully commit to my golf game. Currently, I am a teaching professional at the Battleground in Deer Park. This position allows me the freedom to play and practice everyday. I will play on either the LPGA tour or the Futures tour for the 2002 season and will need sponsorship monies in order to be successful.

Division of Income

The following proposed division of income (prize monies won) to the partnership is formulated with the understanding that the investor, who is taking the most risk, shall have returned to him/her a majority of all income on a scale which simultaneously provides incentive for the PLAYER to excel.

The sharing arrangement for each dollar (or other currency) earned from tournament winnings, pro-ams, exhibitions and promotional fees shall be as follows:

75% to INVESTORS
25% to PLAYER

Upon returning 100% of the original investment capital, the sharing arrangement shall be as follows:

50% to INVESTORS
50% to PLAYER

Upon the returning of 100% profit to the investors, the sharing arrangement shall be as follows:

25% to INVESTORS
75% to PLAYER
